Master agreement governing all use of the ShipHub™ platform, services, APIs, and marketplace.
1. 1. Platform Nature & Role of ShipHub™
IKEOCEAN® LLC, doing business as ShipHub™ operates a logistics technology platform, marketplace facilitator, software-as-a-service application, and coordination ecosystem connecting shippers, consignees, freight forwarders, carriers, brokers, warehouses, customs agents, last-mile providers, and other supply-chain participants (collectively, "Service Partners").
ShipHub™ is NOT a carrier, freight forwarder of record (unless expressly disclosed in writing for a specific shipment), customs broker, warehouseman, insurer, financial institution, or party to any underlying transportation contract between a shipper and a Service Partner. ShipHub™ facilitates discovery, booking, documentation, communication, payment routing, and tracking; the underlying transportation, storage, customs clearance, insurance, and delivery services are performed by independent Service Partners under their own terms and tariffs.
By using the Services, you acknowledge that ShipHub™ acts solely as the technology layer and coordination interface, and that ShipHub™ bears no liability for the acts, omissions, performance, financial condition, or regulatory compliance of any Service Partner.
2. 2. Eligibility & Account Registration
You represent that you are at least eighteen (18) years of age, possess full legal capacity to enter into binding agreements, and are not on any restricted-party, sanctioned, or denied-persons list maintained by the United States or any other applicable authority.
You agree to provide accurate, current, and complete information during registration and to keep it updated. You are responsible for safeguarding account credentials, API keys, and all activity occurring under your account. ShipHub™ may suspend or terminate accounts with inaccurate, fraudulent, or suspicious information without prior notice.
3. 3. User Responsibilities & Accuracy of Information
You are solely responsible for the accuracy, completeness, and legality of all shipment data you submit, including but not limited to: commodity descriptions, HS codes, weights, dimensions, declared values, hazardous-materials classifications, country of origin, consignee information, addresses, and customs documentation.
ShipHub™ relies on the information you provide to generate quotes, routes, ETAs, duties estimates, and bookings. Inaccurate, misleading, incomplete, or fraudulent information may result in reweighs, reclassifications, additional charges, customs holds, fines, seizure, penalties, denial of service, account termination, and personal or corporate liability — all at your cost. You agree to indemnify ShipHub™ in full for any loss, charge, penalty, or claim arising from such inaccuracies.
4. 4. Quotes, ETAs, Rates & Availability
All quotes, rates, transit times, ETAs, equipment availability, route options, and capacity displayed on the platform are estimates generated from third-party data, machine-learning models, carrier tariffs, and historical patterns. They are NON-BINDING unless and until confirmed by a signed booking and accepted by the operating Service Partner.
Quotes and ETAs may change at any time, with or without notice, due to fuel surcharges, currency fluctuation, capacity, port congestion, weather, customs, peak season, equipment shortage, regulatory change, force majeure, or carrier action. ShipHub™ disclaims any guarantee of price, transit time, or delivery date.
5. 5. Payment, Fees & Collections
You agree to pay all charges associated with a booking — including freight, fuel, surcharges, accessorials, duties, taxes, demurrage, detention, storage, customs fees, reweigh fees, reclassification fees, dispute fees, and any ShipHub™ platform or facilitation fee — in accordance with the Payment Terms & Billing Policy.
Unpaid invoices accrue late-payment interest of 1.5% per month (or the maximum permitted by law, whichever is less) plus all collection costs and reasonable attorneys' fees. ShipHub™ reserves possessory lien rights over cargo, documents, and credits to secure unpaid amounts and may suspend any account in arrears.
6. 6. Prohibited Conduct
You may not: (a) use the Services for illegal, fraudulent, or deceptive purposes; (b) ship prohibited or restricted cargo as defined in the Prohibited & Restricted Cargo Policy; (c) circumvent sanctions or export controls; (d) reverse engineer, scrape, or interfere with the platform; (e) misuse APIs, credentials, or the booking flow; (f) submit chargebacks in bad faith; (g) impersonate any person or entity; (h) infringe intellectual property; or (i) attempt to disrupt the Services or any third-party system.
7. 7. License & Intellectual Property
ShipHub™ grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal business operations. All platform code, design, branding, content, datasets, AI models, dashboards, APIs, and documentation are the exclusive property of ShipHub™ or its licensors and are protected by intellectual-property laws.
8. 8. Suspension & Termination
ShipHub™ may suspend or terminate your access to the Services, in whole or in part, at any time and without prior notice, for any actual or suspected breach of this document, the Acceptable Use Policy, the Prohibited Cargo Policy, applicable law, sanctions, payment default, fraud, or platform abuse. Termination does not release you from accrued obligations, including unpaid amounts and indemnities, which survive.
9. 9. Disclaimers & Limitation of Liability
The Services are provided "AS IS" and "AS AVAILABLE" without warranty of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, or uninterrupted operation.
To the maximum extent permitted by law, ShipHub™'s aggregate liability arising out of or related to the Services shall not exceed the lesser of (a) the platform fees you paid to ShipHub™ in the three (3) months preceding the claim, or (b) USD $500. ShipHub™ shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost cargo value, lost revenue, missed delivery windows, demurrage, or business interruption, regardless of theory of liability.
10. 10. Indemnification
You agree to defend, indemnify, and hold harmless ShipHub™, its affiliates, officers, directors, employees, agents, Service Partners, licensors, and successors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Services; (b) your breach of this document or any policy in the Legal Center; (c) inaccurate or unlawful shipment information; (d) violation of any law or third-party right; (e) cargo you tender; or (f) any dispute between you and a Service Partner.
11. Governing Law, Venue & Dispute Resolution
This document is governed by and construed under the laws of the State of Georgia, United States of America, without regard to conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Any dispute, claim, or controversy arising out of or relating to this document or the Services shall be resolved exclusively by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, with the seat of arbitration in Atlanta, Fulton County, Georgia. The arbitrator's award shall be final, non-appealable, and enforceable in any court of competent jurisdiction.
You expressly waive any right to a trial by jury and any right to participate in a class, collective, consolidated, or representative action against ShipHub™. Any claim must be brought within one (1) year of the event giving rise to it or be permanently barred.
12. Electronic Acceptance
You agree that your electronic acceptance of this document — whether via checkbox, click, API authentication, or continued use of the Services — has the same legal force and effect as a hand-written signature under the U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN), the Uniform Electronic Transactions Act (UETA), and any equivalent law in your jurisdiction.
ShipHub™ retains a server-side acceptance record including timestamp, IP address, document version, and account identifier, which shall constitute prima facie evidence of acceptance in any proceeding.
13. Notices, Updates & Acceptance
IKEOCEAN® LLC, doing business as ShipHub™ ("ShipHub™", "we", "us", or "our") may amend this document at any time by posting an updated version inside the Legal Center at /legal. Continued access to or use of the ShipHub™ platform, application, APIs, dashboards, marketplace, agent network, partner portal, or any service offered by ShipHub™ (collectively, the "Services") after the effective date constitutes binding acceptance of the revised document.
By creating an account, clicking an acceptance checkbox, signing electronically, submitting a booking, transmitting an API call, or otherwise using the Services, you acknowledge that you have read, understood, and agreed to be bound by this document and every other policy referenced in the Legal Center.
Where any term of this document conflicts with a signed master services agreement executed between you and ShipHub™, the executed agreement controls only as to the conflicting provision; all other provisions of this document remain in full force.

Notices to you may be delivered via the email address on file, in-platform notification, or any reasonable electronic means; electronic notice is deemed received upon transmission.
